This Vendor Agreement ("Agreement") is made effective as of __________________________ ("Effective Date"), by and between Lightworkers Circle ("Platform") and __________________________ ("Service Provider").

1. Services

The Service Provider agrees to offer services and/or events ("Services") through the Platform in accordance with the terms of this Agreement.

2. Commission

The Platform will deduct a commission of 15% from all payments made by users for the Services provided by the Service Provider. This commission will be automatically deducted prior to disbursement of payments to the Service Provider.

3. Payment Terms

Payments to the Service Provider for Services rendered will be made on a monthly basis, upon completion of the provided event services or events. Payments will be processed within 5 working days at the beginning of each month.

4. Cancellation Policy

4.1 Notice of Cancellation

The Service Provider may cancel the event at least 2 days before the scheduled event date. If cancellation is necessary within 2 days of the scheduled event date, please contact the Platform admin for assistance. The admin will deduct a 20% administrative charge from the total service fee.

4.2 Weather Conditions

Cancellations due to severe weather conditions are not bound by the above notice clause and will be handled on a case-by-case basis.

4.3 Notification to Users

The Service Provider is obliged to notify users directly regarding any cancellations of Services or events. Additionally, the Service Provider is responsible for notifying registrants of any changes in content, format, or schedule of the Services and events. Failure to do so may result in penalties as determined by the Platform.

4.4 Unpublishing of Page

If the Service Provider cancels more than 2 events within 6 months, the corresponding lightworker page will be unpublished.

5. Active Service Requirement

The Service Provider must have at least one active service available for registration each month. If the Service Provider fails to meet this requirement, the admin reserves the right to unpublish the corresponding lightworker page.

6. Responsibilities of the Service Provider

The Service Provider agrees to:

• Provide accurate information about the Services offered.
• Maintain professionalism and high standards in the delivery of Services.
• Comply with all applicable laws and regulations in the provision of Services.

7. Indemnification

The Service Provider agrees to indemnify and hold harmless the Platform, its affiliates, and their respective employees and agents from any claims, losses, liabilities, damages, costs, or expenses arising from the Service Provider's performance of Services or any breach of this Agreement.

8. Term and Termination

This Agreement shall commence on the Effective Date and continue until terminated by either party with 7 days' written notice, and shall remain in effect until all events posted by the Service Provider are completed. The Platform may terminate this Agreement immediately for cause if the Service Provider breaches any term or condition herein.

9. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Hong Kong SAR. Any disputes arising under this Agreement shall be resolved in the courts of Hong Kong SAR.

10. Entire Agreement

This Agreement constitutes the entire agreement between the parties regarding the subject matter hereof and supersedes all prior agreements and understandings, whether written or oral.

This Agreement shall become effective upon the Service Provider clicking the "Accept" button.
